Wyoming LLC Search and Business Entity Lookup

WyoBiz, the Wyoming Secretary of State’s free Business Entity Search, finds a company by filing name or Filing ID and shows five indicators on each record: Status, Sub Status and three standings (tax, registered agent, other). An Active LLC can still be delinquent, and its members aren’t listed. The search below checks a Wyoming company by name.

Active but Delinquent: Wyoming’s Five Indicators

Wyoming prints its own definitions on every record. A company is marked delinquent once the due date passes without a report, and it stays Active while Standing - Tax reads Delinquent; if the report isn’t filed within 60 days of the due date, the company is administratively dissolved and its status turns Inactive, as the table shows.

As shown on the recordWhat the record’s definition says
ActiveThe entity has met all filing requirements of the Secretary of State’s Office.
Inactive - Administratively Dissolved (Tax)It didn’t file the annual report by the 60th day after its due date.
Inactive - Administratively Dissolved (No Agent)It didn’t keep a registered agent in Wyoming.
Inactive - DissolvedDissolved voluntarily; the name is free again right away.
Current (with Inactive)It has 2 years from the inactive date to remedy the delinquency.
ArchivedThe end of its life cycle; it can no longer reinstate.
Standing - Tax / RA / Other: DelinquentTax: the annual report wasn’t filed on time. RA: no registered agent. Other: an administrative action has occurred.

An administratively dissolved LLC can reinstate within two years, online when the annual report is the only problem, and the reinstatement dates back to the day of the dissolution (W.S. 17-29-705). The filing fee is $100 for a tax dissolution, on top of the delinquent fees the law requires, and $350 for an LLC dissolved without a registered agent. The Secretary of State adds that good standing only means the paperwork and fees are current, not an endorsement of the business.

The Wyoming Annual Report: First Day of the Anniversary Month

A Wyoming LLC or corporation files its annual report by the first day of the month it was formed: an initial filing on May 15 means a report due May 1 each year. The license tax is $60 or two-tenths of one mill on the dollar of assets located and employed in Wyoming, whichever is greater, so $60 up to $300,000 of assets and $242 for $1,210,000.

The report can be filed up to 120 days early, and reminder emails come 60, 30 and 10 days before the due date from SOS_AnnualReports@wyo.gov. Paying online adds a 2.4% card fee, $1 at least, and a report owing more than $500 can’t be filed online. A corporation’s report lists its officers and directors; an LLC’s lists its Wyoming assets and principal office. The anniversary-month deadline and the online form are covered step by step in the Wyoming LLC annual report guide.

Certificate of Good Standing: Free, Checked by Certificate ID

WyoBiz generates a Certificate of Good Standing free from the Filing ID, and anyone can validate one from its Certificate ID. A manually signed certificate, usually needed for an apostille, costs $20, by check or money order, and takes up to 15 business days. A mailer charging $90 for the certificate is one of the scams the Secretary of State has flagged.

Wyoming LLC Members Stay Off the Public Record

A Wyoming LLC’s annual report asks for its assets and principal office, not its members or managers, so a Wyoming LLC lookup doesn’t show who owns the company. The names of directors, officers and managers are kept by the registered agent instead (W.S. 17-28-107), and they become public only if the company chooses to file them.

Corporations do file the names and addresses of their officers and directors with each annual report, and those reports show in the record’s History, with a PDF when an icon appears.

Why Thousands of Companies Share One Address

Just under 450 commercial registered agents are registered in Wyoming, and several represent thousands of businesses, all at the agent’s address; a Sheridan or Cheyenne address shared by hundreds of companies belongs to their agent, not to them. On March 18, 2026, the Secretary of State began in-person audits of commercial registered agents, including 30 North Gould Street in Sheridan. P.O. boxes, virtual addresses and mail drops don’t qualify as a registered office; the agent needs a physical Wyoming address.

Wyoming Business Name Search: When Two Names Are the Same

A Wyoming name is distinguishable when it has a different letter or numeral, or a different sequence of them, compared with other names on the records (W.S. 17-16-401). Entity words such as LLC, L.L.C., L.C., Inc. or Company, the words the, and and a, punctuation, capitals, spacing and singular or plural forms don’t count, so A Red Wagon LLC is the same as Red Wagon Inc. A name that starts with the letter A followed by a space, like that one, can’t be filed online; it goes on paper.

Name test

Distinguishable under W.S. 17-16-401?

Applies the Secretary of State's rules on punctuation, capitals, spacing, the words a, the and and, singular and plural forms and entity endings. The state makes the final call.

Numbers written three ways count as three names: XYZ 3 LLC, XYZ III LLC and XYZ Three LLC are distinguishable. Checking the name is the filer’s job, and the office reviews new registrations the next business day. The name of an administratively dissolved company becomes available two years after its inactive date, a voluntarily dissolved one’s right away. A name reservation lasts 120 days and costs $60, by mail only, and isn’t needed when the articles of organization are filed at the same time. Wyoming’s name check leaves out federal trademarks, the other half of vetting a new LLC name.

Trade Names: Optional, but Registered With the State

Registering a DBA isn’t mandatory in Wyoming. A business that wants one files an Application for Registration of Trade Name with the Secretary of State: $100, notarized, for a name already in use, good for ten years and renewable for $50.

Scam Mailers and Business Filing Fraud in Wyoming

The Business Division sends no text messages and no invoices, and its emails come only from wyo.gov addresses. Mailers it has flagged charge $90 for a good standing certificate that is free online, $119 for a beneficial ownership form, $135 to file an annual report and $159 for annual minutes that Wyoming doesn’t collect.

Since February 3, 2026, a business filing fraud report can flag a company formed with someone’s name or address without consent; the Secretary of State’s only direct remedy is administrative dissolution. Since July 1, 2025, it can also dissolve a business found to be owned or controlled by a foreign adversary.

No Wyoming record shows an EIN: the Business Division doesn’t collect it, the IRS issues it free, and looking up another company’s EIN starts elsewhere.
