These Service Terms (the “Terms”) govern your use of the Delaware LLC formation service offered on boostsuite.com, the application at app.boostsuite.com, and the services offered there (together, the “Services”). The Services are operated by ACCORP LLC, a Delaware limited liability company (“Boost Suite”, “we”, “us”), under the Boost Suite brand. By creating an account, placing an order, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
We are not a law firm
The Boost Suite formation service is a document preparation and filing service. We are not a law firm, we are not attorneys, and we do not provide legal, tax, or financial advice. No attorney-client relationship is created by your use of the Services. The information on our website is general information about business formation and is not a substitute for advice from a licensed attorney or accountant about your specific situation. If you need legal or tax advice, consult a qualified professional.
Who can use the Services
You must be at least 18 years old and able to enter into a binding contract. If you order on behalf of a company or another person, you confirm that you are authorized to do so. We may refuse, suspend, or cancel any order or account at our discretion, including where we cannot verify your identity, where the order appears fraudulent, or where providing the Services would violate applicable law, including United States sanctions and export laws.
What we do
We offer the following Services for the State of Delaware only:
- LLC formation: we prepare a Certificate of Formation from the information you provide and submit it to the Delaware Division of Corporations on your behalf.
- Registered Agent service: we provide a registered agent with a physical Delaware address for your company, as required by Delaware law, and forward legal and official mail we receive for your company to you.
- EIN application (optional add-on): we prepare and submit an application for an Employer Identification Number to the Internal Revenue Service on your behalf, including for founders who do not have a Social Security Number or ITIN.
- Operating Agreement (optional add-on): we provide a template operating agreement completed with the information you provide. It is a template, not legal advice, and you are responsible for reviewing it and having it reviewed by counsel if needed.
- Compliance reminders: we send email reminders about your Delaware annual franchise tax and your registered agent renewal. We do not pay the Delaware annual franchise tax on your behalf, and we do not file annual reports or tax returns for you. These remain your responsibility.
Your information and your responsibilities
You agree to provide accurate, complete, and current information, including the names, addresses, and ownership details of your company’s members and managers. We rely on that information to prepare and submit your filings. You are responsible for any consequence of inaccurate or incomplete information, including rejected filings and additional State fees. You confirm that your company will not be used for any unlawful purpose. You are responsible for all obligations of your company after formation, including taxes, licenses, permits, and annual filings. You are responsible for keeping your account credentials confidential and for all activity under your account. One account may manage several companies.
Fees and payment
The prices of the Services are shown at checkout and in your dashboard. At the time these Terms are published, the prices are:
- LLC formation: $49, plus the Delaware filing fee shown at checkout (currently $110), which we collect and pass through to the State;
- EIN application: $99;
- Operating Agreement: $39;
- Registered Agent service: included for the first year, then $99 per year.
Prices may change; the price shown at checkout when you order is the price you pay. State fees are set by the State of Delaware and are collected by us on your behalf at cost. Any additional State fee caused by a correction, a resubmission, or a change you request is also passed through at cost.
Payments are processed by Stripe in United States dollars. By providing a payment method, you authorize us to charge it for the Services you order and, for the Registered Agent service, for the annual renewal described under Registered Agent service, automatic renewal, and cancellation.
Filing process and timing
After you complete your order, we review your information and submit your Certificate of Formation to the Delaware Division of Corporations. Standard State processing time is set by the State and is not under our control; it is typically several business days but may be longer. We will notify you by email when your company is approved and your documents are available in your dashboard.
If the State rejects a filing because of the information provided, we will tell you what needs to change, correct it with you, and resubmit at no additional service charge. Additional State fees, if any, are passed through at cost.
Approval of a company name is decided by the State of Delaware. We cannot guarantee that a name will be accepted. If your first choice is not available, we will ask you for an alternative.
The EIN is issued by the Internal Revenue Service. Processing times depend on the IRS and are typically longer for applicants without a Social Security Number. We cannot guarantee IRS processing times or the outcome of an application.
Registered Agent service, automatic renewal, and cancellation
Delaware law requires every LLC to maintain a registered agent with a physical address in Delaware at all times. When you choose Boost Suite as your registered agent, you appoint ACCORP LLC, or a registered agent provider acting on our behalf, as the registered agent of your company, and you authorize us to be named as such in your filings.
The Registered Agent service is included for the first year after formation. It renews automatically for successive one-year terms at $99 per year, charged to the payment method on your account. We will email you before each renewal. You can cancel the renewal at any time from your dashboard, in a few clicks, before the renewal date; cancellation takes effect at the end of the current service year and no further renewal fee is charged.
Because your company must have a registered agent at all times, if you cancel you are responsible for appointing a replacement agent and filing the change with the State. If you do not appoint a replacement, we may resign as your registered agent as permitted by Delaware law, and your company may lose its good standing with the State.
As your registered agent, we receive service of process and official mail for your company and forward it to the email address on your account. You are responsible for keeping that address current and for acting on what we forward.
Refunds
Our refund rules are set out in our Refund Policy, which is part of these Terms. In summary: everything you paid is refundable before we submit your filing to the State; after submission, the State fee and the formation fee are not refundable, and add-ons that have not yet been delivered are refunded.
Sharing your information
To provide the Services we share the information you give us with the Delaware Division of Corporations, with the Internal Revenue Service for EIN applications, with our payment processor, and with service providers that assist us with filing and registered agent services under confidentiality obligations. Our Privacy Policy describes how we collect, use, and protect your information.
Intellectual property
The website, the application, and their content are owned by us or our licensors. You may use them only to access the Services. The documents we prepare for your company are yours once delivered.
Disclaimer of warranties
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that a filing will be approved, that a name will be available, that an EIN will be issued, or that the Services will be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, ACCORP LLC and its members, managers, employees, and service providers will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from or related to the Services, even if advised of the possibility of such damages. Our total liability for any claim arising from or related to the Services is limited to the amount you paid us for the Service concerned in the twelve months before the claim arose.
Indemnification
You agree to indemnify and hold harmless ACCORP LLC and its members, managers, employees, and service providers from any claim, loss, or expense, including reasonable attorneys’ fees, arising from your breach of these Terms, from inaccurate information you provided, or from the activities of your company.
Termination
You may close your account at any time by contacting us; obligations already incurred, including a Registered Agent term already started, remain due under these Terms and the Refund Policy. We may suspend or terminate your access to the Services if you breach these Terms, if your payment fails, or if required by law.
Electronic communications
You agree to receive communications from us electronically, at the email address on your account, including notices, reminders, renewal notices, and documents. Notices sent to that address are deemed received when sent.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Before starting any proceeding, you agree to contact us at operational@boostsuite.com and to try in good faith to resolve the dispute for at least 30 days.
Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Changes apply to orders placed after the date of the change. Your continued use of the Services after a change means you accept the updated Terms.
General
These Terms, the Refund Policy, and the Privacy Policy are the entire agreement between you and us about the Services. If any provision is found unenforceable, the rest remains in effect. We may assign these Terms to a successor of our business. You may not assign them without our consent. Our failure to enforce a provision is not a waiver of it.
