Oklahoma LLC Status: Inactive at 60 Days, Cancelled at 3 Years

An Oklahoma LLC or limited partnership turns Inactive when its annual certificate is more than 60 days late, and Cancelled when three years have gone by without one. A corporation shows OTC Suspension when it failed Oklahoma Tax Commission requirements, and a foreign corporation that skipped its own annual certificate is Ousted.

Until it is reinstated, an LLC out of good standing gets no certificate of good standing ($20), can file nothing but a reinstatement or an agent’s resignation, and can’t sue in an Oklahoma court (18 O.S. §2055.2). Results above carry no status, because the state’s list only gives the name’s.

The $25 Annual Certificate Falls on Each LLC’s Anniversary

Every Oklahoma LLC, domestic or foreign, files an annual certificate and pays $25 on the anniversary of its filing (articles of organization, or registration for a foreign LLC), not on a statewide date; the Secretary of State emails a notice at least 60 days ahead, and a 60-day grace period follows.

The certificate only confirms that the LLC is active and gives its principal business address and a contact email; it names no members. Reinstatement has no fee of its own: the LLC files every missed certificate at $25 each, even after cancellation, and the reinstatement relates back as if it had never lost good standing. The formation date on the summary gives the day and month of each Oklahoma LLC annual certificate deadline.

Corporations: No Annual Certificate, and No More Franchise Tax

A domestic corporation files no annual certificate with the Secretary of State; only a foreign corporation does. Oklahoma’s franchise tax, paid to the Tax Commission, ended with tax year 2023, but corporations suspended before July 1, 2023 for not filing it still have to reinstate, for $150 plus the fees and penalties due.

Name Availability in Oklahoma: Names Gone Three Years Still Count

An Oklahoma LLC name check applies the statute: a name can’t be the same as or indistinguishable from an entity in good standing or registered at any time in the past three years, or from a trade name, fictitious name or reserved name on file (18 O.S. §2008). The name must end in LLC, L.L.C., LC, L.C., limited liability company or limited company. A search limited to active companies can therefore miss the name that blocks yours, and a sole proprietor’s trade name can block an LLC too.

The state’s Name Availability Search is “a preliminary search”; the Business Filing Department decides, and the search box itself asks to remove any punctuation mark. Written consent from the holder, with an added word, number or letter, opens a similar name. For $10, filed online, a name reservation keeps a name for 60 days. Filing “only prevents the secretary of state from filing a subsequent certificate” with an indistinguishable name, so checking an LLC name beyond the state registry is worth doing before registering an Oklahoma LLC, which costs $100.

Oklahoma Trade Name (DBA) Search: $25, No Expiration

An Oklahoma trade name costs $25 on a Trade Name Report filed with the Secretary of State, by a company or by an individual, and the statute sets no expiration or renewal. A company’s trade names appear in the business search under its own filing number; an individual’s trade name gets a number of its own.

Search results above list a company’s trade names under Other names, but not trade names filed by individuals, which only the state’s search returns. A general partnership that doesn’t use its partners’ names files a fictitious name certificate instead, $50, listing every partner and their residence address. State trademarks ($50 per class) have their own free search on the Secretary of State’s site.

Ownership Stays Private in Oklahoma LLC Filings

An Oklahoma LLC lookup won’t show owners, because the LLC files no member or manager names: its articles of organization give only its name, duration, principal address and registered agent, and the annual certificate asks for an address and a contact email. A domestic LLC can appoint itself as registered agent, or a resident individual or a qualified company such as a registered agent service, at a registered office with a physical Oklahoma address.

The official search has a Search Registered Agent mode; the Person tab above returns the companies a registered agent represents. If an LLC’s agent resigns and more than 30 days pass, the Secretary of State becomes its agent for service, for $40 a year.

Licenses and Permits: No Statewide Oklahoma License to Look Up

“In Oklahoma a general business license or fee is not required,” the Department of Commerce states; licenses come from the agency that regulates each activity, and counties and cities may add their own. A business selling goods needs a sales tax permit from the Oklahoma Tax Commission through OkTAP, $20 plus a handling fee for three years, the first six months probationary.

The Secretary of State “does not issue employer identification numbers” (EINs) and sends owners to the IRS for them; no summary or detail report shows one; the permit application asks for the filing number and the EIN together. The registry can’t give another company’s EIN; finding a company’s EIN goes through other records.
